By accessing or using Fudi (the "App" or "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

These Terms constitute a legally binding agreement between you and Fudi, operated by Nollie ("we," "us," or "our").

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by:

• Posting the updated Terms in the App
• Updating the "Last Updated" date
• Sending an in-app notification or email for significant changes

Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

3. Eligibility

To use Fudi, you must:

• Be at least 13 years of age (or the applicable age of digital consent in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable laws

If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Services.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account. You can register using:

• Email and password
• Google Sign-In
• Anonymous sign-in (limited features)

4.2 Account Information

You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

4.3 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

5. User Content and Conduct

5.1 User Content

Fudi allows you to post content including:

• Text posts and comments
• Photos and images
• Business information (for vendors)
• Reviews and ratings

5.2 Content Ownership

You retain ownership of content you post. However, by posting content to Fudi, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, reproduce, and display your content
• Distribute your content within the App
• Modify your content for technical purposes (e.g., formatting, compression)
• Create derivative works for promotional purposes

This license ends when you delete your content or account, except for content that has been shared or used by other users.

5.3 Prohibited Content

You may not post content that:

• Is illegal, harmful, or violates others' rights
• Contains hate speech, harassment, or bullying
• Is sexually explicit or pornographic
• Promotes violence or illegal activities
• Infringes intellectual property rights
• Contains spam or misleading information
• Violates privacy rights
• Contains malware or malicious code

5.4 Prohibited Conduct

You agree not to:

• Impersonate others or misrepresent your affiliation
• Harass, threaten, or abuse other users
• Scrape or collect data without authorization
• Interfere with the App's operation
• Attempt to gain unauthorized access
• Use bots, scripts, or automated tools
• Manipulate ratings or reviews
• Create multiple accounts to circumvent restrictions

6. Business Accounts (Vendors)

6.1 Business Listings

Restaurant owners and food businesses can create vendor accounts to:

• List their business on the map
• Manage menu information
• Post updates and photos
• Engage with customers

6.2 Business Information Accuracy

Vendors must:

• Provide accurate business information
• Have proper authorization to represent the business
• Keep information current and up-to-date
• Comply with all applicable laws and regulations

6.3 Business Conduct

Vendors must not:

• Post false or misleading information
• Manipulate reviews or ratings
• Engage in fraudulent practices
• Violate health and safety regulations
• Discriminate against customers

7. Intellectual Property

7.1 Our Intellectual Property

The Fudi App, including its design, features, code, and content (excluding user content), is owned by Nollie and protected by copyright, trademark, and other laws.

You may not:

• Copy, modify, or reverse engineer the App
• Use our trademarks without permission
• Create derivative works
• Remove copyright notices

7.2 Trademark

"Fudi" and related logos are trademarks of Nollie. You may not use these marks without our prior written consent.

7.3 Copyright Infringement

We respect intellectual property rights. If you believe your copyright has been infringed, please contact us at fudi@nollie.net with:

• Description of the copyrighted work
• Location of the infringing material
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

8. Privacy and Data

Your use of Fudi is also governed by our Privacy Policy. By using the Services, you consent to our collection and use of data as described in the Privacy Policy.

8.1 Location Data

Fudi uses location data to provide core features. You can control location permissions through your device settings. Some features may not function without location access.

8.2 Communications

By creating an account, you consent to receive:

• Service-related notifications
• Updates about your account
• Responses to your inquiries
• Marketing communications (which you can opt out of)

9. Third-Party Services

Fudi integrates with third-party services including:

• Google Maps for location services
• Google Sign-In for authentication
• Firebase for backend services

Your use of these services is subject to their respective terms and policies. We are not responsible for third-party services.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

Fudi is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation
• Accuracy or reliability of content

10.2 Business Listings Disclaimer

We do not verify, endorse, or guarantee:

• The accuracy of business information
• The quality of food or services
• Compliance with health and safety standards
• The authenticity of reviews

Users are responsible for making their own judgments about businesses.

10.3 Limitation of Liability

To the maximum extent permitted by law, Fudi and its affiliates shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from your use of the Services
• Damages arising from user content
• Damages from third-party services or businesses

Our total liability shall not exceed the amount you paid us in the past 12 months (or $100 if you have not paid us).

10.4 Food Safety

We are not responsible for:

• Food quality or safety
• Foodborne illnesses
• Allergic reactions
• Accuracy of ingredient information

Always verify food safety and allergen information directly with restaurants.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fudi, Nollie, and their affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of others' rights
• Content you post
• Your business operations (for vendors)

12. Content Moderation

We reserve the right, but have no obligation, to:

• Monitor content posted on Fudi
• Remove content that violates these Terms
• Suspend or terminate accounts
• Cooperate with law enforcement

We do not pre-screen content and are not responsible for user-generated content.

13. Account Termination

13.1 Your Right to Terminate

You may delete your account at any time through the App settings. Upon deletion:

• Your profile will be removed
• Your content will be deleted (within 90 days)
• You will lose access to the Services

13.2 Our Right to Terminate

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Harm other users or the community
• Violate intellectual property rights
• Are inactive for an extended period

13.3 Effect of Termination

Upon termination:

• Your right to use the Services ends immediately
• We may delete your data
• Sections of these Terms that should survive will continue to apply

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Mexico, without regard to conflict of law principles.

14.2 Informal Resolution

If you have a dispute, please contact us first at fudi@nollie.net. We will attempt to resolve disputes informally.

14.3 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, rather than in court.

14.4 Class Action Waiver

You agree to resolve disputes on an individual basis. You waive any right to participate in class actions or class arbitrations.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fudi regarding the Services.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not transfer or assign your rights under these Terms. We may assign our rights without restriction.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, wars, strikes, or technical failures.

15.6 Language

These Terms are provided in English and Spanish. In case of discrepancies, the English version prevails.

16. Feedback and Suggestions

We welcome your feedback and suggestions. By submitting feedback, you grant us the right to use it without restriction or compensation to you.

17. App Store Terms

If you download Fudi from an app store (Apple App Store, Google Play), you must also comply with their terms of service.

17.1 Apple App Store

For iOS users, you acknowledge that:

• These Terms are between you and Fudi, not Apple
• Apple has no obligation to provide support
• Apple is not responsible for the App
• You comply with Apple's terms of service

17.2 Google Play Store

For Android users, you acknowledge that:

• These Terms are between you and Fudi, not Google
• Google has no obligation to provide support
• Google is not responsible for the App
• You comply with Google's terms of service
